Definitions: “Company” refers to Vfruit; “Customer” refers to any purchaser; “Products” refers to luxury fresh fruits, dried fruits, and wholesale lots.

Scope: These terms govern all sales of Products by the Company to the Customer.

Pricing: Prices are denominated in RM unless otherwise stated and may change without notice. Taxes, duties, and clearance fees are excluded unless expressly included.

Order Acceptance: A contract is formed upon written order confirmation issued by the Company. The Company may decline or cancel orders prior to confirmation.

Payment Terms: Payment is due upon order placement unless otherwise agreed in writing. For wholesale, deposits may be required; balance due prior to dispatch.

Title: Title to Products transfers to the Customer only upon receipt of full payment.

Incoterms: Export shipments follow Incoterms® 2020 as specifically agreed (e.g., DAP, CIF, FOB). In the absence of express agreement, domestic deliveries are DAP (Delivered at Place).

Cold Chain: All perishable Products are shipped using controlled temperature logistics where applicable.

Timeframes: Estimated delivery windows are indicative and not guarantees. Delays may occur due to carrier, customs, or force majeure events.

Domestic (Malaysia): Delivery is typically same day or next business day for confirmed orders before cut-off.

International & Export: Dispatch occurs within 1–3 business days of confirmed payment and documentation. Required export documents will be provided upon request.

Risk of Loss: For domestic deliveries, risk passes upon delivery at the destination. For export shipments under carrier handoff terms, risk passes upon tender to the first carrier unless otherwise agreed.

Inspection: Customer must inspect Products immediately upon delivery.

Notice Period: Claims for damage or quality deviation must be submitted within 24 hours of delivery with photographic evidence and, where applicable, temperature logs.

Acceptance: Products are deemed accepted if no claim is received within the notice period.

Exclusions: Natural variation in size, color, and taste profiles does not constitute a defect.

Perishables: Returns for fresh fruits are generally not required. Approved claims may be remedied via replacement, partial refund, or credit note at the Company’s discretion.

Processing: Validated refunds are processed within 3–7 business days.

Wholesale: Remedies for bulk shipments may include partial credit or replacement shipment subject to inspection reports from the forwarder.

Retail Orders: Cancellations are permitted within 1 hour of purchase if preparation has not commenced.

Wholesale Orders: Cancellations must be received at least 24 hours prior to scheduled dispatch. Deposits may be non-refundable once carrier bookings are confirmed.

Force Majeure: The Company may suspend or cancel performance without liability in the event of circumstances beyond reasonable control.

Legal Basis: Personal data is processed in accordance with Malaysia’s Personal Data Protection Act 2010 (PDPA).

Data Collected: Identification and contact information, delivery preferences, order history, payment references (processed by secure third-party providers), and site analytics.

Purpose: Order fulfillment, logistics coordination, customer support, service improvements, and lawful marketing with consent.

Retention: Data retained only as necessary for legal, tax, and operational purposes, then securely deleted or anonymized.

Disclosure: Data may be shared with logistics partners, payment processors, and compliance authorities where required, subject to appropriate safeguards.

Governing Law: These policies are governed by the laws of Malaysia. The parties submit to the exclusive jurisdiction of the courts of Malaysia.

Effective Date: This policy is effective from 01 Oct 2025 and supersedes prior versions.
